I ALWAYS MEANT TO ASK

These Terms and Conditions govern the services provided by I Always Meant To Ask (“we”, “our”, or “us”) to the client (“you” or “your”).

By accepting a quote, signing electronically, or paying a deposit, you agree to these Terms.

1. Services

We provide video biography and storytelling services, including interviews, filming, editing, photography, audio recording, and related digital media services.

Services may include:

  • pre-production planning

  • filming and interviews

  • editing and post-production

  • delivery of digital films and media files

Filming will take place at a location agreed between both parties. You are responsible for obtaining any permissions required for filming at private venues or locations.

2. Project Process

  • We aim to provide a draft edit within 30 days of filming unless otherwise agreed.

  • All photographs, archival footage, music, documents, or other materials to be included in the project should be supplied within 14 days of filming.

  • One round of reasonable edit revisions is included unless otherwise stated in the proposal.

  • Additional revisions, major structural edits, or re-shoots may incur extra fees.

  • Feedback on draft edits must be provided within 14 days of delivery.

If feedback or required materials are delayed, project timelines may also be delayed.

3. Client Responsibilities

You agree that:

  • you have the legal right to use any materials you provide to us;

  • all supplied materials do not infringe any third-party intellectual property rights;

  • you will obtain any necessary permissions or consents required for filming or supplied content;

  • information you provide is accurate and lawful.

You indemnify us against claims arising from materials or content supplied by you.

4. Pricing and Payment

Unless otherwise agreed in writing:

  • 50% of the quoted fee is payable as a deposit to secure the filming date;

  • the remaining 50% is payable upon delivery of the draft film and before final delivery files are released.

All prices are in New Zealand Dollars (NZD) and are exclusive of GST unless stated otherwise.

We reserve the right to pause work if invoices remain unpaid.

Interest may be charged on overdue amounts at 5% per annum above the Official Cash Rate set by the Reserve Bank of New Zealand.

5. Cancellations and Rescheduling

A non-refundable administration fee of NZ$100 applies to all cancellations.

Cancellation terms:

  • More than 4 weeks before filming: full refund minus the NZ$100 administration fee.

  • Between 1 and 4 weeks before filming: 50% of the deposit refunded.

  • Less than 7 days before filming: no refund of deposit, although we may offer a credit toward a rescheduled date at our discretion.

If filming must be postponed due to illness, weather, emergencies, or circumstances beyond either party’s reasonable control, both parties will work together in good faith to reschedule.

6. Intellectual Property

We retain ownership of all intellectual property rights in the project until full payment has been received.

Once full payment has been made:

  • you own the final delivered film for personal use;

  • we retain ownership of raw footage, project files, templates, editing assets, and production processes unless otherwise agreed in writing.

We may request permission to use excerpts of the completed project for portfolio, website, social media, or promotional purposes. We will only do so with your prior approval.

7. Raw Footage and Storage

Unless otherwise agreed:

  • raw footage and project files are retained for up to 12 months after project completion;

  • archival storage beyond this period is not guaranteed;

  • requests for copies or transfers of raw footage may incur additional fees.

While we take reasonable care with all materials, you acknowledge that digital files may be subject to accidental loss, corruption, or technical failure.

8. Delays and Force Majeure

We are not responsible for delays caused by:

  • client communication delays;

  • failure to provide materials or approvals;

  • technical failures outside our control;

  • weather events;

  • illness;

  • acts of God;

  • internet outages or third-party service interruptions.

If circumstances beyond our reasonable control prevent us from delivering services, our liability is limited to refunding amounts paid for undelivered services.

9. Limitation of Liability

To the maximum extent permitted by New Zealand law:

  • our total liability arising from the services is limited to the amount paid by you for the relevant services;

  • we are not liable for indirect, consequential, or special loss, including loss of profits, business opportunities, or emotional distress;

  • we are not responsible for factual accuracy, opinions, or statements made by interview participants within the film.

Nothing in these Terms excludes any rights you may have under the Consumer Guarantees Act 1993 where applicable.

Where services are supplied for business purposes, you agree that the Consumer Guarantees Act 1993 does not apply to the extent permitted by law.

10. Privacy

We collect and manage personal information in accordance with the Privacy Act 2020 and our Privacy Policy.

By engaging our services, you consent to us collecting and using personal information reasonably necessary to provide the services.

11. Confidentiality

Both parties agree to keep confidential any private or sensitive information shared during the project unless disclosure is required by law or authorised by the other party.

12. Termination

Either party may terminate the agreement in writing if:

  • the other party materially breaches these Terms and fails to remedy the breach within a reasonable time; or

  • circumstances arise that make completion of the project impossible.

You remain responsible for payment for all work completed up to the termination date.

13. General

If any part of these Terms is found to be unenforceable, the remaining provisions remain in effect.

These Terms constitute the entire agreement between the parties unless otherwise agreed in writing.

These Terms are governed by the laws of New Zealand and any disputes will be subject to the exclusive jurisdiction of the New Zealand courts.
